2. DEFINITIONS

These Terms do not apply to consumers and the Consumer Contracts Regulations and Consumer Rights Act 2015 do not apply.

SPARK grants you a limited, revocable, non-exclusive licence to access and use the Website for the purpose of purchasing Products.

5. REGISTRATION
To access the Website and purchase Products, you must register for an account.
By registering, you confirm that:

- You are authorised to act on behalf of the business or organisation named in your registration.
- You are responsible for maintaining the confidentiality of your username and password. SPARK is not liable for losses arising from unauthorised use of your login credentials.

6. CREDIT ACCOUNTS
If you apply for a credit account:
- SPARK may carry out credit checks via an authorised agency.
- Credit terms are granted solely at SPARK’s discretion and may be varied or withdrawn at any time.
- Invoices must be paid within 30 days of the invoice date.
- Late payments may incur interest at 2% above the Bank of England base rate, plus any reasonable costs of collection.
- SPARK may suspend or cancel orders, withdraw credit, or invalidate Products if payment terms are breached.
7. USE OF PRODUCTS
Products may only be used for approved business purposes.
Pre-approved uses include:
- Employee rewards or benefits (non-charged).
- Sale to employees under a closed-group benefit scheme (not subscription-based).
- Consumer rewards or giveaways to closed user groups (under 500 vouchers).
The following require prior written consent from SPARK:
- Sale as part of a public or third-party promotion.
- Use in customer incentive or public prize campaigns.
- Resale to the general public or through unauthorised channels.
8. MARKETING MATERIALS
SPARK may provide logos, copy and imagery for your promotional use.
You must obtain written approval from SPARK before publishing any material containing these assets.
All rights in logos and imagery remain with SPARK and the respective product issuers.
9. PLACING AN ORDER
By submitting an order, you confirm that:
- You are authorised to act on behalf of your organisation.
- You are offering to purchase Products under these Terms.
- Orders constitute an offer, which SPARK may accept or reject.
If an incorrect price is displayed, SPARK will notify you before accepting the order. No contract is formed until SPARK issues confirmation of acceptance.
Orders are supplied subject to the product-specific terms of the relevant cinema provider. You must review those terms before purchasing.
Products are typically available for download (e.g., CSV file) within 2 hours of cleared payment or if sufficient credit is available.
Ownership transfers to the Purchaser only upon full payment.
For non-credit purchases, payments are processed securely through
Stripe Inc. (“
Stripe”). By submitting payment details, you agree to be bound by
Stripe’s Terms of Service and
Privacy Policy, which govern the collection, processing, and storage of your payment information.
SPARK does not store or have access to your full payment card details. Stripe acts as the data controller for payment information and is responsible for its security. SPARK may receive limited transaction data (such as confirmation of payment and customer identifiers) solely for order fulfilment, accounting, and fraud prevention purposes.
In the event of a payment dispute, refund, or chargeback, you agree that Stripe’s determinations shall be final and that SPARK may rely upon Stripe’s confirmation of payment to validate fulfilment of your order.
10. VAT
VAT will be charged at the prevailing rate where applicable. SPARK relies on guidance from its suppliers regarding the VAT status of Products.
11. RETURNS AND FAULTY PRODUCTS
As Products are digital and supplied in good faith, returns are not accepted unless the Products are defective or unusable.
In such cases, SPARK will replace the Products. Please contact your account manager for assistance.
12. LIMITATION OF LIABILITY
Nothing in these Terms limits SPARK’s liability for:
- Fraud or fraudulent misrepresentation.
- Death or personal injury caused by SPARK’s negligence.
Subject to the above:
- SPARK is not liable for indirect, consequential, or unforeseeable loss.
- SPARK’s total aggregate liability per claim shall not exceed the total value of the disputed order.
- SPARK is not liable for third-party acts, including cinema providers, or for events beyond its control (force majeure).
13. PRIVACY AND DATA PROTECTION
SPARK processes personal data in accordance with the UK GDPR, Data Protection Act 2018, and applicable Irish data protection laws.

14. ELECTRONIC COMMUNICATIONS
By using the Website, you agree that communications (including invoices, notices, and statements) may be sent electronically to your most recent email address on file.

16. GOVERNING LAW
These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
For customers located in Ireland, you agree that the contract is formed in England and governed exclusively by English law.
